The City is tasked with ensuring that any potential sale of Marin Valley Mobile Country Club (MVMCC), like other real properties owned by the City, is in the best interest of all constituents in the City including the current residents of MVMCC. The City can assure the community that every proposal is reviewed with diligence and care. Any decision must reflect the City’s longstanding commitment to preserving affordable housing, while also carefully weighing the financial, legal and long-term impacts of any agreement.

Background

The City of Novato has owned the Marin Valley Mobile Country Club since 1997, following a unique community-driven acquisition intended to preserve affordable housing opportunities for seniors and others. Since that time, the City has maintained ownership, while day-to-day operations have been managed under a delegation agreement with the Park Acquisition Corporation (PAC).  The PAC, in turn, contracts with a professional property management firm, The Helsing Group, to carry out the park’s daily functions.

Exclusive Negotiating Agreement

In May 2024, the City of Novato entered into an Exclusive Negotiating Agreement (ENA) with the Park Acquisition Corporation (PAC) of the Marin Valley Mobile Country Club (MVMCC). This agreement provides a structured timeframe for the City and PAC to engage in focused discussions and due diligence to determine whether a potential purchase of the park by PAC from the City is feasible.

The ENA allows both parties to explore the financial, operational, and legal aspects of a potential sale of the MVMCC to PAC. The goal is to assess whether PAC—representing the resident community—can take ownership of the park in a manner that ensures its long-term sustainability and alignment with community interests. The negotiating period for the ENA expires December 31, 2025. 
 
Per the ENA, the PAC was to provide City with an Acquisition and Financing Proposal on or before June 30, 2025.  The PAC met this deadline and submitted its proposal to the City on June 23, 2025. For reference, the PAC’s Acquisition and Financing Proposal dated June 19, 2025, and amended on July 7, 2025, are included below.

City’s Response 

On July 16, 2025, the City declined the PAC’s initial offer, and on September 17, 2025, it declined the PAC's counteroffer. The City’s response letters, along with the City’s appraisal prepared by Semple Appraisals, Inc., dated July 15, 2025, may be viewed below.
